This document, comprising these Terms of Service (hereinafter referred to as the "Agreement"), constitutes a legally binding contract between AI Task Forge ("Company," "we," "us," or "our"), a business operating the website aitaskforge.com (the "Website") and offering related services (the "Service"), and you, the individual or entity accessing or utilizing the Website or Service ("User," "you," or "your").
1. Acceptance of Terms 1.1. By accessing, browsing, or otherwise using the Website or Service, you signify your unequivocal agreement to be bound by the terms and conditions set forth herein. Prohibited activities include, but are not limited to: a. Engaging in any illegal, fraudulent, or unauthorized activities. b. Uploading, posting, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable. c. Impersonating any person or entity or misrepresenting your affiliation with any person or entity. d. Attempting to gain unauthorized access to any portion or feature of the Website or Service, or any other systems or networks connected to the Service. e. Introducing viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful. f. 6. Disclaimers and Limitation of Liability 6.1. THE WEBSITE AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 6.2. AI TASK FORGE DOES NOT WARRANT THAT THE WEBSITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. 6.3. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI TASK FORGE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICE, EVEN IF AI TASK FORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 6.4. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF AI TASK FORGE FOR ALL CLAIMS RELATING TO THE WEBSITE AND SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO AI TASK FORGE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7. Indemnification 7.1. You agree to indemnify, defend, and hold harmless AI Task Forge, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Website or Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in this Agreement, or your use of any information obtained from the Website or Service.
8. Termination 8.1. AI Task Forge may terminate or suspend your access to all or part of the Website or Service at any time, with or without cause or notice, effective immediately. Grounds for termination may include, but are not limited to, breaches of this Agreement, fraudulent activities, or extended periods of inactivity. 8.2. Upon termination, your right to use the Service will immediately cease. Sections 5, 6, 7, 9, and 10 of this Agreement shall survive any termination. 8.3. You may terminate your account at any time by contacting us at the provided email address.
9. Governing Law 9.1. This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. 9.2. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.
10. Miscellaneous Provisions 10.1. Entire Agreement: This Agreement constitutes the entire agreement between you and AI Task Forge regarding the Website and Service and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. 10.2. Severability: If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect. 10.3. Waiver: No waiver by AI Task Forge of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AI Task Forge to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision. 10.4. Assignment: You may not assign or transfer this Agreement, in whole or in part, without the prior written consent of AI Task Forge. AI Task Forge may assign this Agreement at its sole discretion without restriction.
